1. Agreement to Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and InfinityDevops (“Company,” “we,” “us,” or “our”), governing your access to and use of our DevOps consulting, implementation, and managed services, as well as our website at www.infinitydevops.com.

By signing a service agreement, subscribing to a service plan, submitting a contact form, or using our services in any capacity, you agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or organization, you represent that you have the authority to bind that entity.

If you do not agree with any part of these Terms, you must not use our services.

2. Definitions

For the purposes of these Terms:

  • “Services” means all DevOps consulting, implementation, automation, cloud management, CI/CD pipeline setup, infrastructure as code, containerization, monitoring, security, and related services provided by InfinityDevops.
  • “Service Plan” means the selected subscription tier (Basic DevOps, Standard DevOps, Enterprise DevOps, or Custom DevOps) as described on our Pricing page.
  • “Service Agreement” means the formal contract or Statement of Work (SOW) executed between the Client and InfinityDevops for a specific scope of services.
  • “Client Infrastructure” means the servers, cloud environments, applications, databases, and systems owned or operated by the Client.
  • “Deliverables” means the specific configurations, pipelines, scripts, documentation, and environments produced by InfinityDevops under a Service Agreement.
  • “Confidential Information” means any non-public technical, business, financial, or operational information disclosed by either party in the course of the engagement.

3. Services Offered

3.1 InfinityDevops provides the following categories of services:

  • Cloud-Native DevOps: Design and implementation of cloud-native architectures on AWS, Azure, and GCP.
  • CI/CD Implementation: Setup and optimization of continuous integration and continuous deployment pipelines using tools such as Jenkins, GitHub Actions, GitLab CI/CD, and similar platforms.
  • DevOps Automation and Toolchain Integration: Integration of development, testing, deployment, and monitoring tools into a cohesive DevOps pipeline.
  • DevSecOps Services: Embedding security practices within DevOps workflows, including vulnerability scanning, compliance auditing, and access controls.
  • Microservices and Containerization: Implementation of Docker containerization and Kubernetes orchestration for scalable application architectures.
  • Cloud Migration Services: Assessment, planning, and execution of workload migrations to cloud platforms with minimal downtime.
  • Infrastructure as Code (IaC): Automation of infrastructure provisioning using tools including Terraform and Ansible.
  • Monitoring and Observability: Implementation of real-time monitoring, alerting, and log analytics using Grafana, Prometheus, ELK Stack, and related tools.
  • Release Management: Streamlining and optimizing software release processes for frequency, reliability, and speed.
  • Configuration Management: Ensuring consistent application environments across development, staging, and production.
  • AWS, Azure, and GCP Consulting: Strategic advisory on cloud architecture, cost optimization, and DevOps transformation specific to each platform.

3.2 Specific deliverables and scope are defined in the applicable Service Agreement or Statement of Work (SOW) for each engagement.

4. Service Plans and Subscriptions

4.1 Available Plans

InfinityDevops offers the following monthly subscription plans:

BASIC DEVOPS — $550/month

Scope: CI/CD pipeline setup, cloud infrastructure setup, basic monitoring and logging, containerization with Docker, infrastructure as code, version control system setup, security and compliance basics, basic support and maintenance.

Suitable for: Startups and small teams establishing foundational DevOps.

STANDARD DEVOPS — $750/month

Scope: Advanced CI/CD pipeline, cloud optimization and scaling, comprehensive monitoring and alerting, container orchestration with Kubernetes, infrastructure automation with Terraform/Ansible, security and compliance implementation, disaster recovery and backup, 24/7 support and maintenance.

Suitable for: Growing businesses requiring advanced automation and scaling.

ENTERPRISE DEVOPS — $950/month

Scope: Full DevOps automation and infrastructure, multi-cloud and hybrid cloud deployments, zero-downtime deployment, high-security compliance and audits, AI-driven monitoring and auto-healing, microservices and serverless architecture, disaster recovery and high availability, dedicated DevOps team and priority support.

Suitable for: Large organizations with complex, enterprise-grade requirements.

CUSTOM DEVOPS — Pricing by Negotiation

Scope: Fully customizable DevOps solutions tailored to specific organizational needs, including all features from the Enterprise plan plus bespoke integrations and dedicated team allocation.

Suitable for: Organizations with unique infrastructure or compliance needs.

4.2 Plan Changes

  • Clients may upgrade their plan at any time, with changes taking effect in the next billing cycle.
  • Plan downgrades are subject to a 30-day notice period.
  • Requests to change plans must be submitted in writing to support@infinitydevops.com.

5. Fees, Billing, and Payment

5.1 Pricing

All fees are stated in United States Dollars (USD) unless otherwise agreed in writing. Prices are exclusive of applicable taxes, duties, and levies.

5.2 Billing Cycle

  • Monthly subscriptions are billed in advance at the start of each billing cycle.
  • Project-based and one-time engagements are invoiced as specified in the applicable Service Agreement.

5.3 Payment Terms

  • Payment is due within 14 days of the invoice date unless otherwise agreed.
  • Accepted payment methods include bank transfer, credit card, and other methods as specified at the time of invoicing.

5.4 Late Payments

  • Invoices not paid by the due date are subject to a late payment fee of 1.5% per month (or the maximum rate permitted by law, whichever is lower) on the outstanding balance.
  • InfinityDevops reserves the right to suspend services after 30 days of non-payment following written notice to the Client.

5.5 Taxes

The Client is responsible for all applicable taxes, including VAT, GST, or withholding taxes, unless InfinityDevops is legally required to collect and remit such taxes.

5.6 Price Changes

InfinityDevops reserves the right to revise pricing with at least 30 days' advance written notice. Price changes take effect at the start of the next billing cycle following the notice period.

6. Client Responsibilities

To enable effective service delivery, the Client agrees to:

  • Provide InfinityDevops with timely access to relevant systems, credentials, documentation, and personnel required to perform the Services.
  • Maintain valid and active accounts on cloud platforms (AWS, Azure, GCP) where applicable, and bear all associated cloud resource costs independently.
  • Designate a primary technical point of contact who can make decisions regarding the Client's infrastructure.
  • Promptly review and approve proposed configurations, architectures, and changes before implementation.
  • Ensure that all software, tools, and technologies in the Client's environment are properly licensed.
  • Maintain appropriate backups of data before any major infrastructure changes, unless backup services are explicitly included in the agreed plan.
  • Notify InfinityDevops of any changes to Client systems that may affect ongoing services.
  • Not use InfinityDevops services for any unlawful purpose or in violation of any applicable regulations.

7. Intellectual Property

7.1 Pre-Existing IP

Each party retains ownership of intellectual property developed independently prior to the engagement. Nothing in these Terms transfers ownership of either party's pre-existing IP.

7.2 Deliverables Ownership

Unless otherwise agreed in writing in the Service Agreement:

  • Custom scripts, configurations, pipeline setups, infrastructure templates, and documentation created specifically for the Client under a paid engagement are owned by the Client upon full payment of all fees.
  • InfinityDevops retains ownership of proprietary frameworks, tools, internal methodologies, and reusable components that it brings to or develops during the engagement independently of Client-specific requirements.

7.3 License to InfinityDevops Tools

Where InfinityDevops incorporates its proprietary tools into Client Deliverables, it grants the Client a non-exclusive, non-transferable license to use such tools solely in connection with the Services provided under these Terms.

7.4 Client License to InfinityDevops

The Client grants InfinityDevops a limited license to access, use, and modify Client systems and data solely to the extent necessary to deliver the Services.

8. Confidentiality

8.1 Both parties agree to keep Confidential Information strictly confidential and not to disclose it to any third party without the prior written consent of the disclosing party, except:

  • To employees or contractors who need to know it to perform their duties and are bound by equivalent confidentiality obligations.
  • As required by applicable law or regulation.

8.2 Confidentiality obligations survive termination of the service relationship for a period of five (5) years.

8.3 The following is not considered Confidential Information:

  • Information that is or becomes publicly available through no fault of the receiving party.
  • Information independently developed by the receiving party.
  • Information received from a third party without restriction.

9. Acceptable Use

The Client agrees not to use InfinityDevops services to:

  • Engage in any illegal activity or facilitate criminal conduct.
  • Deploy, distribute, or host malware, ransomware, phishing, or any malicious code or software.
  • Violate the acceptable use policies of cloud platform providers (AWS, Azure, GCP) or any other third-party service.
  • Infringe upon the intellectual property, privacy, or other rights of any third party.
  • Attempt to gain unauthorized access to systems, networks, or data.
  • Disrupt, overload, or compromise the security of any systems or networks.
  • Engage in cryptocurrency mining without prior written authorization.
  • Violate any export control or sanctions laws.

InfinityDevops reserves the right to immediately suspend services if the Client is found to be in violation of this Acceptable Use Policy, without prejudice to any other remedy available.

10. Third-Party Services and Integrations

10.1 InfinityDevops may utilize third-party tools, platforms, and services (including AWS, Azure, GCP, Docker, Kubernetes, Jenkins, Grafana, Prometheus, ELK Stack, Terraform, and Ansible) to deliver its services.

10.2 The Client acknowledges that the availability and functionality of third-party services are outside InfinityDevops's control. InfinityDevops is not liable for interruptions, changes, or discontinuation of third-party services.

10.3 The Client is responsible for compliance with the terms and conditions of all third-party platforms used in their infrastructure, including payment of any third-party platform fees.

11. Service Level and Support

11.1 InfinityDevops will use commercially reasonable efforts to deliver services in a professional, timely, and high-quality manner.

11.2 Support Levels by Plan:

  • Basic Plan: Business hours support, response within 24 hours.
  • Standard Plan: 24/7 support, response within 4 hours for critical issues.
  • Enterprise Plan: Dedicated DevOps team, priority response within 1 hour for critical issues.
  • Custom Plan: As defined in the applicable Service Agreement.

11.3 Planned maintenance windows will be communicated at least 48 hours in advance. Emergency maintenance may be performed with shorter notice.

11.4 InfinityDevops does not guarantee specific uptime for Client systems except as explicitly stated in a separate Service Level Agreement (SLA) executed in writing.

12. Limitation of Liability

12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INFINITYDEVOPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF REVENUE, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF INFINITYDEVOPS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 InfinityDevops's total cumulative liability to the Client for any claims arising from or related to these Terms or the Services shall not exceed the total fees paid by the Client to InfinityDevops in the three (3) months immediately preceding the event giving rise to the claim.

12.3 The limitations above do not apply to:

  • Liability for gross negligence or willful misconduct by InfinityDevops.
  • Liability for breach of confidentiality obligations.
  • Liability that cannot be limited under applicable law.

13. Warranties and Disclaimers

13.1 InfinityDevops warrants that:

  • Services will be performed in a professional and workmanlike manner.
  • It has the right and authority to enter into these Terms.
  • Its personnel possess the skills and expertise necessary for the services.

13.2 EXCEPT AS EXPRESSLY STATED IN THESE TERMS, INFINITYDEVOPS PROVIDES SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS. INFINITYDEVOPS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13.3 InfinityDevops does not warrant that services will be uninterrupted, error-free, or that all defects will be corrected.

14. Indemnification

14.1 Client Indemnification

The Client agrees to indemnify, defend, and hold harmless InfinityDevops and its officers, directors, employees, and contractors from any claims, damages, costs, and expenses (including reasonable legal fees) arising from:

  • The Client's use of the Services in violation of these Terms.
  • The Client's breach of any representation or warranty in these Terms.
  • The Client's violation of any applicable law or third-party rights.

14.2 InfinityDevops Indemnification

InfinityDevops agrees to indemnify the Client against claims that the Services, as provided, infringe the intellectual property rights of any third party.

15. Term and Termination

15.1 Term

These Terms are effective from the date of your first use of our services and remain in effect until terminated by either party in accordance with this section.

15.2 Termination by the Client

  • Monthly subscriptions may be cancelled with 30 days' written notice prior to the next billing cycle.
  • Project-based engagements may be terminated per the terms of the applicable Service Agreement.

15.3 Termination by InfinityDevops

InfinityDevops may terminate these Terms or suspend services immediately upon written notice if:

  • The Client fails to pay any amount due within 30 days of the due date.
  • The Client commits a material breach of these Terms that is not cured within 15 days of written notice.
  • The Client engages in activities that violate applicable law.
  • Continuation of services would expose InfinityDevops to legal or regulatory risk.

15.4 Effect of Termination

Upon termination:

  • All access credentials and permissions granted by the Client shall be revoked from InfinityDevops systems.
  • All fees outstanding become immediately due and payable.
  • InfinityDevops will provide a transition period of up to 14 days to assist the Client in transitioning services, at InfinityDevops's standard hourly rate if not covered by a plan.
  • Provisions relating to confidentiality, intellectual property, limitation of liability, and governing law survive termination.

16. Force Majeure

Neither party shall be liable for any delay or failure in performance resulting from causes beyond their reasonable control, including but not limited to: natural disasters, acts of government, war, civil unrest, pandemic, internet outages, power failures, or failures of third-party cloud infrastructure (AWS, Azure, GCP).

In such events, the affected party shall notify the other as soon as reasonably practicable and resume performance as soon as the force majeure event ceases.

17. Dispute Resolution

17.1 Informal Resolution

In the event of any dispute, controversy, or claim arising from or related to these Terms, the parties agree to first attempt to resolve the matter through good-faith negotiation. Either party may initiate this process by sending a written notice describing the dispute to support@infinitydevops.com.

17.2 Mediation

If informal resolution fails within 30 days, either party may refer the matter to non-binding mediation before a mutually agreed mediator.

17.3 Jurisdiction

If mediation fails, disputes shall be subject to the exclusive jurisdiction of the competent courts of Sylhet, Bangladesh, unless otherwise agreed in writing.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law principles. For international clients, parties may agree to an alternative governing law as specified in the applicable Service Agreement.

19. Amendments

InfinityDevops reserves the right to update these Terms at any time. Material changes will be communicated via email and/or prominent notice on our website at least 14 days prior to taking effect. Continued use of the Services after the effective date of updated Terms constitutes acceptance.

20. Entire Agreement and Severability

20.1 These Terms, together with any applicable Service Agreement and the Privacy Policy, constitute the entire agreement between the parties and supersede all prior agreements, representations, and understandings relating to the subject matter herein.

20.2 If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
